The Service is owned and operated by Wiply Corp OÜ, located at Ahtri tn 12 Tallinn, 10151 ("Company," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the Terms, you may not access the Service.
By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you represent that you have read, understood, and agree to be bound by these Terms, and that you are at least 18 years of age (or the legal age of majority in your jurisdiction). If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and representing to us that you have the authority to bind that organization to these Terms.
The Service is a platform designed to help users manage, schedule, post, and analyze content across various third-party social media networks (e.g., Facebook, Instagram, X/Twitter, TikTok, YouTube). This includes features for team collaboration, AI-powered content generation, analytics, and bulk scheduling.
You agree to:
Provide accurate, current, and complete information during the registration process and keep your account information up-to-date.
Maintain the confidentiality of your password and login credentials.
Be responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
To provide the Service, you grant us permission to access your linked third-party social media accounts. You acknowledge and agree that:
We are dependent on the availability and policies of the third-party social media networks. We are not liable for any changes, suspensions, or terminations of their APIs or services.
You are solely responsible for ensuring that your use of the Service complies with all terms and conditions of the respective social media networks.
The Service is offered on a subscription basis for various periods (monthly, yearly, or other as offered) as outlined on our pricing page. Your subscription will automatically renew at the end of each billing cycle unless you cancel it or the Company terminates it.
You agree to pay the subscription fees applicable to your chosen plan. You authorize Wiply Corp OÜ (or our third-party payment processors) to charge your designated payment method on a recurring basis for all applicable fees, including any applicable taxes.
We may offer a free plan or a limited-time trial. We reserve the right to modify the features, limits, or duration of any free plan or trial at any time without prior notice.
Cancellation: You can cancel your subscription renewal at any time through your account settings. The cancellation will take effect at the end of your current paid billing cycle. You will retain access to the paid features until that date.
Refunds: Payments are non-refundable. We do not provide refunds or credits for any partial subscription periods, downgrade refunds, or unused services. In the event we terminate your account without cause, we may provide a pro-rata refund for the unused portion of the Service, at our sole discretion.
All content, features, and functionality of the Service (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by Wiply Corp OÜ, its licensors, or other providers of such material and are protected by copyright, trademark, patent, and other intellectual property or proprietary rights laws.
You retain all ownership rights in and to the content (including images, text, and data) that you upload, post, or schedule through the Service ("User Content").
By submitting User Content, you grant Wiply Corp OÜ a worldwide, royalty-free, and non-exclusive license to use, reproduce, modify, adapt, publish, and display the User Content solely for the purpose of providing the Service to you (e.g., scheduling and publishing the content on your linked social media accounts, and generating analytics reports).
You agree not to use the Service to:
Violate any laws, including but not limited to those regarding content, copyright, privacy, and data protection.
Schedule or publish any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
Impersonate any person or entity.
Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
Attempt to gain unauthorized access to the Service, our systems, or linked social media networks.
Sublicense, resell, rent, or otherwise commercially exploit the Service.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WIPLY CORP OÜ EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WIPLY CORP OÜ MAKES NO WARRANTY THAT:
THE SERVICE WILL MEET YOUR REQUIREMENTS;
THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WIPLY CORP OÜ, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.
IN NO EVENT SHALL WIPLY CORP OÜ'S TOTAL CUMULATIVE LIABILITY EXCEED THE AMOUNT PAID BY YOU TO WIPLY CORP OÜ FOR THE SERVICE IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Wiply Corp OÜ and its affiliates, officers, agents, and employees from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) the content you schedule or publish; or (d) your violation of any rights of another party, including any social media network's terms of service.
You may terminate your account at any time by following the steps within the Service's account settings. Termination of your account will take effect upon the expiration of your current subscription period.
We may terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms (including failure to pay subscription fees), or for any other reason, at our sole discretion. Upon termination for breach, you forfeit any paid fees.
These Terms shall be governed by and construed in accordance with the laws of Estonia, without regard to its conflict of law provisions.
Any dispute arising out of or relating to the subject matter of these Terms shall be settled by the courts located in Tallinn, Estonia.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
